ANGD · ACCESS CONTROL

ANGD demo access terms

These access terms (the "Terms") govern access to the demonstration version of the ANGD software, available at https://app.digitaldom.eu/demo-angtech/ (the "Demo"), made available by Domenico Ciarcelluti, sole proprietor trading under his own name, Italian tax code CRCDNC96C21G482K, VAT IT 18441131002, registered address Via Arturo Calza 29, Sc. A, Int. 11, 00157 Rome (RM), Italy, contact ciarcellutidomenico@gmail.com (the "Controller"). Access to the Demo is restricted to people whose email address has been approved by the Controller and uses Google sign-in, a one-time email code, or a previously recognised device. By checking the acceptance box and completing access, the person accessing the Demo (the "Visitor") declares to have read, understood and accepted these Terms, including the clauses identified for specific approval under Articles 1341 and 1342 of the Italian Civil Code. This English text is a courtesy translation only: the Italian version prevails (Art. 10).

Art. 1 — Purpose

These Terms govern restricted, personal and non-transferable access to the Demo, granted free of charge for demonstration and evaluation purposes only, without giving rise to any supply relationship, software licence beyond what is provided for in these Terms, or any further contractual obligation.

Art. 2 — Intellectual property and trade secrets

The software, interfaces, text, application flows, technical solutions, names — including the name of the assistant "Dom" and the definition "the brain" — sample data, and every other element shown or made available in the Demo (collectively, the "Materials") are the exclusive property of the Controller, or lawfully available to the Controller, and are protected by copyright law (Italian Law No. 633 of 22 April 1941) and, to the extent not publicly disclosed, as trade secrets under Articles 98 and 99 of the Italian Industrial Property Code (Legislative Decree No. 30 of 10 February 2005). Access to the Demo does not constitute, and shall not be construed as, an assignment or licence of any intellectual property right in the Materials, other than the mere right to personal viewing during the authorised session.

Art. 3 — Confidentiality · onerous clause

The Visitor undertakes to keep the Materials and any information learned on the occasion of access confidential, even if communicated verbally, and in particular undertakes not to disclose, publish or reproduce them by any means — including screenshots and recordings, even partial — nor to allow third parties to become aware of them, including by transferring or forwarding their own access credentials. The Visitor further undertakes not to use the Materials, directly or indirectly, to design, develop, market or promote, on its own behalf or on behalf of third parties, products or services in competition with those of the Controller. The confidentiality obligation remains in force for three (3) years from the date of the last authorised access, and in any case until the information becomes public through no fault of the Visitor.

Art. 4 — Contributions, comments and suggestions · onerous clause

Should the Visitor communicate to the Controller, during or after access, contributions, comments, suggestions or improvement ideas relating to the Demo or the Materials (the "Contributions"), such Contributions shall be deemed assigned to the Controller free of charge; to the extent the Contributions are not assignable under applicable law, the Visitor grants the Controller an exclusive, royalty-free, perpetual and irrevocable licence, including the right to sub-license, to use, modify, reproduce and exploit the Contributions without limitation of time, territory or manner, including for commercial purposes, with no payment, royalty or credit owed to the Visitor.

Art. 5 — Nature of the Demo and limitation of liability · onerous clause

Data, names, amounts and scenarios shown in the Demo are fictional or anonymised, unless expressly indicated as real examples, and do not under any circumstances constitute professional advice of any kind. The Demo is made available "as is", for illustrative purposes only, with no guarantee of service continuity, absence of errors, or fitness for any particular purpose. Except in cases of wilful misconduct or gross negligence, the Controller is not liable for interruptions, malfunctions or unavailability of the Demo, nor for decisions made by the Visitor based on what was observed during access.

Art. 6 — Nature of the Visitor

The Visitor declares to be accessing the Demo in the exercise of a professional or business activity, on its own behalf or on behalf of a third-party legal entity, and not as a consumer under Article 3 of the Italian Consumer Code (Legislative Decree No. 206 of 6 September 2005).

Art. 7 — Governing law and jurisdiction · onerous clause

These Terms are governed by Italian law. The Court of Rome has exclusive jurisdiction over any dispute concerning the validity, interpretation, performance or termination of these Terms, subject to any mandatory consumer-protection rules that may apply.

Art. 8 — Specific approval of the onerous clauses

Pursuant to and for the purposes of Articles 1341, second paragraph, and 1342 of the Italian Civil Code, the Visitor declares to specifically approve the clauses set out in Articles 3 (duration of the confidentiality obligation), 4 (assignment of Contributions), 5 (limitation of liability) and 7 (exclusive jurisdiction). Approval is expressed through the checkbox naming those Articles and confirmed by verifying the email code, by Google sign-in with a verified email, or, for an updated version, by confirmation on a previously recognised device. The Controller records the version, date, method and approved email as evidence of acceptance.

Art. 9 — Processing of personal data

Processing of data for access to and use of the Demo is described in the privacy notice linked below. Screens, sections and actions viewed are linked to the access and retained for thirty (30) days. Assistant conversations, feedback and change requests are retained for twelve (12) months and available to the Controller on request through Digital Dom, then deleted. Messages, recent conversation and fictional data visible in the open app are sent to the artificial intelligence model provider named in the privacy notice to generate an answer; voice messages and reading aloud use the speech services named there. Do not enter real personal or health data. Logs are not used for marketing or automated commercial decisions.

Art. 10 — Prevailing text and changes

These Terms are drafted in Italian, which constitutes the official and prevailing text. The English version is a courtesy translation only, provided to assist non-Italian-speaking Visitors: in the event of any discrepancy, conflict or interpretive doubt between the two versions, the Italian text shall prevail in all cases. The Controller reserves the right to update these Terms; the version in force is the one shown, with its date, at the bottom of this page, and a new access following a change requires renewed acceptance.
